1. Acceptance of Terms
By accessing and using the Durowave website and our software engineering services, you accept and agree to be bound by the terms and provision of this agreement. Any participation in this service will constitute acceptance of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Services Rendered
Durowave provides custom software development, digital design, and technical consulting services. All project timelines, deliverables, and specific scopes of work will be defined in a separate Statement of Work (SOW) or master service agreement signed by both parties prior to the commencement of any engineering work.
3. Intellectual Property Rights
Unless otherwise stated in a specific Statement of Work, all intellectual property rights for the custom software, applications, branding, and designs created by Durowave remain the property of Durowave until all final payments have been received from the client. Upon final payment, intellectual property rights transfer to the client as outlined in the specific project agreement.
4. Payment Terms
Payment schedules will be outlined in your specific project contract. Generally, we require an upfront deposit before commencing work, with subsequent milestone payments. Late payments may result in the suspension of ongoing work until the account is brought current.
5. Limitation of Liability
Durowave shall not be liable for any special or consequential damages that result from the use of, or the inability to use, the services and products offered, even if Durowave has been advised of the possibility of such damages. We build robust systems, but the client assumes ultimate responsibility for the operation and security of the delivered software in their own production environment.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
7. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
